Biography
Tianwei represents companies and financial institutions in a wide variety of U.S. and international capital markets transactions, including initial public offerings and other equity offerings, private placements, high yield debt and investment-grade debt offerings.
Tianwei works with companies across a range of matters, including corporate governance, SEC disclosure, stock exchange compliance and general securities law matters.
Tianwei’s practice ranges across industries, and includes clients in retail, technology, biotech, pharmaceuticals and financial services.

Selected experience
- The underwriters, led by TD Securities and Goldman Sachs, in connection with a USD13.1bn secondary registered offering of shares of the Charles Schwab Corporation by the Toronto-Dominion Bank. This transaction is the largest financial services public equity offering of the past five years and one of the largest equity offerings in the United States in a decade.
- IBM in connection with its USD4.75 billion and EUR3.5bn bond offerings.
- The underwriters in connection with numerous registered medium-term note and regulatory capital securities offerings by Bank of Montreal.
- The underwriters in connection with a follow-on public offering by Bruker Corporation.
