Marc Plepelits

Biography

Marc is a leading U.S. corporate finance and securities lawyer with more than 25 years’ experience covering a broad range of international capital markets and leveraged finance transactions.

He regularly advises issuers, financial sponsors, underwriters, lenders and other market participants in Rule 144A/Regulation S high yield bond offerings and has extensive experience in bridge financings for acquisitions and with syndicated loan and private credit financings. His experience also includes advising on IPOs and other equity offerings, investment grade debt offerings and tender offers and other liability management exercises. Marc heads the firm’s U.S. corporate finance team in Germany and regularly handles transactions across Europe and the United States. Marc has been recognized as a leading individual in major legal directories, including Chambers Global, Chambers Europe, IFLR 1000, The Legal Media Group Expert Guide to the World’s Leading Lawyers and JUVE.

  • PLT VII Finance, the parent company of Bitė Group, in connection with its offering of €550 million Floating Rate Senior Secured Notes due 2031. Bitė Group is the leading international telecommunication group in the Baltic countries and a portfolio company of Providence Equity Partners.
  • The mandated lead arrangers in connection with the financing of Bain Capital's acquisition of a majority stake in Everllence, a globally leading developer and manufacturer of 2-stroke and 4-stroke marine and power engines and turbomachinery, from Volkswagen Group.
  • The initial purchasers in connection with the issuance by Alexandrite Monnet UK Holdco Plc, the parent company of Befimmo, of €475.0 million 6.875% Senior Secured Notes due 2031. Befimmo is the largest office owner and operator in Belgium and Luxembourg and a portfolio company of Brookfield.
  • IHO Verwaltungs GmbH in connection with the issuance of EUR 600 million of its 5.625% / 6.375% Senior Secured PIK Toggle Notes due 2031 and USD 500 million of its 7.375% / 8.125% Senior Secured PIK Toggle Notes due 2033. IHO Verwaltungs is the company through which the Schaeffler family holds its investments in automotive and industrial suppliers Schaeffler AG, Continental AG and AUMOVIO AG.
  • The financing providers in connection with the acquisition financing for Lone Star Funds' agreement to acquire the Capsules & Health Ingredients division of Lonza Group AG.
  • A global financial institution as initial purchaser in connection with the issuance of EUR400m 4.125% Senior Notes due 2031 by Azelis, a Belgium-based distributor of specialty chemicals and food ingredients.
  • The mandated lead arrangers on a financing commitments connection with a conditional agreement for a recommended all-cash offer for InPost, valuing InPost at EUR7.8bn, by a consortium comprising Advent, FedEx, A&R Investments and PPF Group. InPost is a leading European e-commerce solutions enabler specializing in out-of-home delivery and automated parcel lockers.
  • The investors in connection with a tap issuance by Punch Pubs Group, one of the leading pub companies in the UK, of €50m of its 7.875% Senior Secured Notes due 2030.
  • The initial purchasers and lenders in connection with the issuance of EUR 375 million senior secured floating rate notes due 2032 and entry into a credit facilities agreement providing for EUR 65.0 million of senior secured revolving credit and up to €80.0 million of senior secured guarantees by Maticmind SpA. Maticmind, part of the Zenita group and a portfolio company of CVC, is a leading provider of integrated smart digital infrastructures in the fields of digital engineering, cybersecurity, defense, security, intelligence and smart platform.
  • The arrangers and other finance parties on a €2.8b billion refinancing, comprising a €2.4 billion term loan B and a €400 million revolving credit facility, for IFCO, a global leader in reusable packaging containers for fresh foods and a portfolio company of Triton.
